These Website Terms of Use (the “Terms”) govern your access to and use of opalitecloud.com and any related webpages operated by Opalite Group LLC, a Texas limited liability company doing business as Opalite Cloud (“Opalite,” “we,” “us,” or “our”) (collectively, the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

The Website provides general information about Opalite Cloud, our company, and products and services we are developing. The Website is informational and does not itself provide access to the Opalite Cloud software platform. Product descriptions, features, availability, timelines, and other forward-looking statements may change as our products develop. Nothing on the Website is an offer, guarantee, or commitment to provide any particular product, feature, price, or launch date.

You may use the Website only if you can form a binding contract under applicable law. You agree to use the Website lawfully and not to:

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPALITE AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OPALITE AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
9. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Opalite and its affiliates, officers, directors, members, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Website, your material violation of these Terms, or your infringement of another person’s rights.
10. Changes, Suspension, and Termination
We may change, suspend, or discontinue any part of the Website at any time. We may also restrict or terminate your access if we reasonably believe you have violated these Terms or pose a risk to the Website, Opalite, or others. We may update these Terms from time to time. 11. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Website must be brought exclusively in the state or federal courts located in Harris County, Texas, and each party consents to those courts’ personal jurisdiction and venue.
12. General Terms
These Terms and the Website Privacy Policy are the entire agreement between you and Opalite concerning the Website, unless a separate written agreement applies. If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law.
